Terms of Service
These Terms of Service ("Terms") govern your access to and use of the ReferralJobs website, member dashboard, application services, career management services, coaching services, and related products and services (collectively, the "Services").
These Terms are a legally binding agreement between you ("Member," "you," or "your") and ReferralJobs, LLC, a Wyoming limited liability company ("ReferralJobs," "we," "us," or "our").
By creating an account, purchasing a Service, accepting an order or enrollment summary, or otherwise using the Services, you agree to these Terms and acknowledge that you have reviewed our Privacy Policy.
If you do not agree to these Terms, do not purchase or use the Services.
1. About ReferralJobs
ReferralJobs provides managed job-search campaign services for professionals.
Depending on the Service you select, ReferralJobs may assist with job opportunity identification, application execution, campaign tracking, LinkedIn network monitoring, career materials, professional positioning, job-search strategy, coaching, and interview preparation.
ReferralJobs is not a recruiter, staffing agency, employer, employment agency, or job board.
ReferralJobs does not make hiring decisions, control employer decisions, represent employers, or have authority to offer employment on behalf of any employer.
Except for the limited Campaign Extension Promise described in Section 12, ReferralJobs does not guarantee interviews, job offers, employment, compensation, career advancement, or any other hiring outcome.
2. Eligibility and Member Accounts
You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Services.
You agree to provide accurate, current, and complete information when creating your account and throughout your use of the Services.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You must promptly notify ReferralJobs if you believe your account has been accessed or used without authorization.
You may not share your ReferralJobs account with another individual or use the Services on behalf of another person unless ReferralJobs expressly agrees in writing.
3. Service Plans
ReferralJobs currently offers two primary managed job-search service paths: Application Services and the Career Management Program.
Your specific plan, price, billing period, and any customized services will be identified on the website, checkout page, enrollment confirmation, proposal, order summary, or other written service description provided to you at enrollment (the "Order Summary").
If an Order Summary expressly modifies the scope or pricing of your Service, the Order Summary controls with respect to that specific scope or pricing.
3.1 Application Services
Application Services is intended for Members who generally have established career materials and target criteria and primarily need support maintaining a more consistent and organized job-search campaign.
Application Services may include:
- identifying job opportunities based on Member-provided target roles, preferences, location criteria, compensation preferences, and other search criteria;
- ongoing application support and application submission;
- LinkedIn network monitoring based on information provided or authorized by the Member;
- member dashboard access and search activity visibility;
- role and application tracking; and
- campaign refinement based on Member feedback and available market signals.
Application Services does not include comprehensive resume development, LinkedIn profile optimization, career positioning, ongoing search coaching, interview coaching, or narrative and pitch development unless those services are separately purchased or expressly included in the Member's Order Summary.
References to "ongoing applications" or "application services" do not mean that ReferralJobs guarantees a specific number of applications per day, week, or month unless a specific application volume is expressly stated in your Order Summary.
Application volume and activity may vary based on role availability, Member criteria, campaign readiness, Member feedback, job-market conditions, and the availability of opportunities that ReferralJobs reasonably determines are aligned with the Member's campaign.
3.2 Career Management Program
The Career Management Program is a higher-touch managed job-search service intended for Members whose search requires broader support across execution, positioning, career materials, strategy, networking, coaching, and interview preparation.
The Career Management Program includes the Application Services foundation and may also include:
- resume review and optimization;
- LinkedIn profile review and optimization;
- cover-letter development or support;
- professional narrative and pitch development;
- two strategy sessions per month;
- job-search coaching;
- interview coaching and preparation;
- LinkedIn coaching;
- networking and referral strategy guidance; and
- ongoing campaign review and refinement based on market response, role fit, interviews, Member feedback, and changing preferences.
Career Management Program configurations and pricing may vary depending on the level of support and selected services. Your specific configuration will be reflected in your Order Summary.
Unless otherwise agreed in writing, unused strategy or coaching sessions do not automatically roll over into future months.
ReferralJobs may require reasonable advance notice to reschedule a strategy or coaching session. Sessions missed by the Member or canceled with less than twenty-four (24) hours' notice may be treated as completed, except in emergencies or where ReferralJobs agrees otherwise.
4. Member Participation and Responsibilities
ReferralJobs operates the job-search campaign with the Member. The Services are not intended to eliminate the Member's participation in the search.
You agree to:
- provide complete and accurate career, employment, education, and professional information;
- provide current resumes, career materials, search preferences, and other information reasonably requested by ReferralJobs;
- promptly notify ReferralJobs of material changes to your employment status, job-search goals, location requirements, compensation expectations, work authorization, or other campaign criteria;
- provide timely feedback regarding job matches and campaign direction;
- review your dashboard and communications with reasonable frequency;
- respond when ReferralJobs needs information necessary to evaluate or complete an application;
- promptly notify ReferralJobs of interviews, employer responses, offers, and other material campaign outcomes;
- inform ReferralJobs of applications you independently submit when reasonably necessary to prevent duplicate applications; and
- participate in interviews, networking, outreach, and other activities that require your personal involvement.
ReferralJobs may pause or adjust campaign activity if Member information is incomplete, outdated, contradictory, or if the Member is materially unresponsive.
ReferralJobs is not responsible for delays or reduced campaign activity caused by a Member's failure to provide required information, approvals, feedback, or participation.
5. Authorization to Support and Submit Job Applications
By enrolling in a Service that includes application support, you authorize ReferralJobs to act as your administrative job-search service provider for purposes of identifying opportunities, preparing application materials, and submitting job applications consistent with your campaign criteria.
This authorization may include permission for ReferralJobs to:
- use your resume, career history, professional profile, and other Member Content in job applications;
- submit applications to employers, applicant-tracking systems, career sites, and other job application portals;
- enter application information based on information you have provided to ReferralJobs;
- use your approved campaign preferences when responding to routine application questions; and
- create or use application-related accounts or workflows when reasonably necessary to provide the Services.
ReferralJobs does not have authority to accept an offer of employment, enter into an employment agreement, agree to compensation, make a legally binding certification on your behalf where personal attestation is required, or otherwise legally bind you to an employer.
ReferralJobs may require your direct response or participation when an application requests information involving, for example:
- work authorization or immigration status;
- criminal history;
- disability or medical information;
- veteran status;
- legally required demographic disclosures;
- background-check authorization;
- security clearances;
- conflicts of interest;
- noncompetition or contractual restrictions;
- legally binding certifications or attestations; or
- other information ReferralJobs cannot reasonably determine from Member-provided information.
ReferralJobs may decline, pause, or abandon an application if required information is unavailable, an application requires a personal certification ReferralJobs cannot provide, or ReferralJobs reasonably believes submission could be inaccurate or misleading.
6. Accuracy of Member Information and Career Materials
You are solely responsible for the truthfulness and substantive accuracy of the information you provide to ReferralJobs.
You represent that information concerning your employment history, accomplishments, education, credentials, certifications, skills, compensation history where voluntarily provided, and other professional background is truthful and not materially misleading.
ReferralJobs may edit, organize, format, summarize, or help position Member-provided information. ReferralJobs will not knowingly fabricate employment, educational credentials, professional accomplishments, certifications, or other material qualifications.
ReferralJobs may refuse to use or submit information that it reasonably believes is false, deceptive, unlawful, or materially misleading.
You must promptly correct inaccurate information after becoming aware of it.
7. Job Matching and Application Selection
ReferralJobs uses Member criteria, campaign information, technology, human review, automated systems, and other available information to identify potentially relevant opportunities.
Job matching is inherently judgment-based. A role identified or pursued by ReferralJobs may not meet every Member preference or ultimately be considered a good fit by the Member or employer.
ReferralJobs is not required to submit an application to every role identified by its systems, a Member, a job board, or another source.
ReferralJobs may prioritize, defer, or decline applications based on factors including:
- alignment with campaign criteria;
- apparent role fit;
- application requirements;
- duplicate applications;
- role availability;
- the age or status of a job posting;
- Member feedback;
- incomplete Member information;
- suspected fraudulent or misleading job postings; and
- reasonable campaign judgment.
Member feedback is an important part of the campaign. ReferralJobs may adjust search criteria and application activity over time based on that feedback.
8. LinkedIn Network Monitoring and Referral Opportunities
Certain Services include LinkedIn network monitoring or network opportunity identification.
To provide these features, ReferralJobs may use information you voluntarily provide, including exported LinkedIn connection information, professional network data, company information, and LinkedIn profile URLs.
You authorize ReferralJobs to process this information for purposes of identifying potential professional connections or network paths relevant to your job-search campaign.
Network monitoring is an informational and campaign-support service.
ReferralJobs does not guarantee that:
- a connection still works for the identified employer;
- employment or company information associated with a connection remains current;
- a connection has influence over a hiring process;
- a connection is willing to provide information, an introduction, or a referral;
- a referral will be accepted by an employer; or
- network activity will result in an interview or hiring outcome.
Unless expressly agreed in writing, ReferralJobs will not impersonate you or independently contact your LinkedIn connections on your behalf.
The Member remains responsible for personal relationship management, networking communications, and outreach conducted in the Member's name.
ReferralJobs is not affiliated with or endorsed by LinkedIn Corporation.
9. Career Materials, Coaching, and Strategy
Career Management Program services may include career strategy, resume and LinkedIn optimization, coaching, interview preparation, and professional narrative development.
These services involve professional judgment and recommendations. You remain responsible for career decisions, communications with employers, interview responses, negotiations, and decisions concerning employment.
Coaching and strategy services are educational and advisory in nature. ReferralJobs does not provide legal, tax, financial, immigration, mental health, or licensed therapeutic services.
You should consult an appropriately qualified professional when your situation requires professional advice outside the scope of job-search and career campaign support.
10. Technology, Automation, and Artificial Intelligence
ReferralJobs combines people, process, and technology in providing the Services.
ReferralJobs may use software, automated systems, artificial intelligence tools, data-processing services, job-search technology, and third-party platforms to support activities such as:
- opportunity sourcing;
- job classification and matching;
- role prioritization;
- application workflow management;
- document analysis;
- draft preparation;
- campaign reporting;
- network opportunity identification; and
- operational administration.
Automated and artificial intelligence systems can produce incomplete, inaccurate, or unexpected results. ReferralJobs may use human judgment and review as part of its workflows, but no technology or review process is error-free.
You agree to promptly notify ReferralJobs if you identify inaccurate information in your Member profile, career materials, application history, or campaign activity.
ReferralJobs' collection, use, and processing of personal information is further described in its Privacy Policy.
11. Third-Party Services and Employer Systems
The Services may interact with websites, applications, and services operated by third parties, including employers, applicant-tracking systems, career sites, job boards, LinkedIn, calendar providers, communications platforms, payment processors, artificial intelligence providers, and financing providers.
ReferralJobs does not control these third-party services.
ReferralJobs is not responsible for:
- the availability or accuracy of a third-party website or service;
- an employer's job posting or hiring process;
- removal, expiration, or modification of a job posting;
- application portal errors or outages;
- an employer's handling of an application;
- changes to third-party terms, features, or technology;
- employer communications that are delayed, filtered, or not delivered; or
- decisions made by an employer, recruiter, or hiring team.
ReferralJobs may modify its workflows or replace a third-party provider when reasonably necessary to continue or improve the Services.
12. Limited Campaign Extension Promise for Eligible Three-Month Prepaid Plans
ReferralJobs does not guarantee that a Member will receive an interview.
However, ReferralJobs offers a limited service-extension promise for eligible Members who purchase and fully prepay an expressly designated three-month ReferralJobs subscription (the "Campaign Extension Promise").
If an eligible Member does not receive a Qualifying Interview during the Member's initial three-month prepaid service term, ReferralJobs will extend the Member's then-current Service for one additional month at no additional ReferralJobs service fee.
For purposes of this section, a "Qualifying Interview" means a live telephone, video, or in-person conversation with an employer recruiter, hiring representative, hiring manager, or interview panel regarding a specific employment opportunity.
Automated assessments, one-way recorded video submissions, general informational sessions, career fairs, unsolicited recruiter marketing, and networking conversations that are not part of an employer's evaluation of the Member for a specific role do not constitute Qualifying Interviews.
The Campaign Extension Promise applies only if:
- the Member fully prepaid the eligible three-month Service;
- the Member completed required onboarding and provided the information reasonably necessary to operate the campaign;
- the Member remained reasonably responsive to requests for application information and campaign feedback;
- the Member did not direct ReferralJobs to materially pause the campaign for a substantial portion of the service term; and
- the Member remained in good standing and complied with these Terms.
A Qualifying Interview opportunity declined by the Member without first participating may be considered an interview opportunity for purposes of determining eligibility for the Campaign Extension Promise.
The Campaign Extension Promise:
- provides an additional month of Service only;
- is not a refund or money-back guarantee;
- does not guarantee that an interview will occur during the extension month;
- does not guarantee an offer or employment; and
- may not be redeemed for cash or transferred to another person.
Unless otherwise stated in the applicable Order Summary, the Campaign Extension Promise applies to eligible three-month prepaid Application Services and Career Management Program subscriptions.
13. Fees, Billing, and Payment
You agree to pay the fees disclosed to you before purchase and reflected in your Order Summary.
Fees are charged in U.S. dollars unless otherwise stated.
13.1 Monthly Subscriptions
If you purchase a monthly subscription, your subscription will continue and automatically renew for successive monthly billing periods unless and until you cancel.
By purchasing a recurring monthly Service, you expressly authorize ReferralJobs and its payment processor to charge your selected payment method for the applicable recurring Service fee and any applicable taxes at the frequency disclosed to you at enrollment.
13.2 Prepaid and Fixed-Term Services
ReferralJobs may offer prepaid or fixed-term Service plans, including three-month prepaid plans.
The price, service term, renewal treatment, and payment schedule for a prepaid plan will be disclosed before purchase and reflected in your Order Summary.
Unless your Order Summary expressly states that a prepaid or fixed-term plan automatically renews, the prepaid plan will not automatically renew at the end of the stated fixed term.
13.3 Automatic Renewal Disclosure
For any Service that automatically renews:
YOUR SERVICE WILL AUTOMATICALLY RENEW AT THE FREQUENCY AND PRICE DISCLOSED AT ENROLLMENT UNLESS YOU CANCEL BEFORE YOUR NEXT RENEWAL DATE. YOUR PAYMENT METHOD WILL BE CHARGED FOR EACH RENEWAL PERIOD.
ReferralJobs will provide renewal terms, cancellation information, and notices concerning material pricing changes as required by applicable law.
13.4 Failed Payments
If a payment cannot be processed, ReferralJobs may attempt to process the payment again and may suspend or limit Services until the outstanding balance is paid.
You remain responsible for fees properly incurred before cancellation or suspension.
13.5 Taxes
Fees do not include taxes unless expressly stated. You are responsible for applicable taxes associated with your purchase, except for taxes imposed on ReferralJobs' income.
14. Cancellation
You may cancel an automatically renewing Service at any time.
Cancellation stops future automatic renewals. Unless otherwise required by law or expressly stated in your Order Summary, cancellation does not retroactively refund fees already charged for a current service period.
Members who enroll in a Service online may cancel their automatically renewing Service through the member section of the ReferralJobs website. Members may access the member section by signing in through the ReferralJobs sign-in page and using the subscription cancellation functionality available within their account.
You may also contact ReferralJobs through the Contact Us form available on the ReferralJobs website for assistance with your account or Service.
ReferralJobs will not require you to continue a sales conversation or purchase another service as a condition of cancellation.
After cancellation, you may continue to receive Services through the end of your then-current paid service period unless your account is terminated for violation of these Terms.
Prepaid fixed-term fees are governed by the refund provisions below.
15. Refunds
Except where required by law, ReferralJobs Service fees are nonrefundable after the applicable service period has begun.
ReferralJobs does not provide refunds based solely on:
- the number of interviews received;
- lack of a job offer;
- an employer's hiring decision;
- general dissatisfaction with market conditions;
- a Member's decision to pause or discontinue a job search;
- the availability of roles matching highly restrictive Member criteria; or
- a Member obtaining employment before the end of a prepaid service term.
The Campaign Extension Promise in Section 12 is the sole additional remedy offered by ReferralJobs based on the absence of a Qualifying Interview during an eligible three-month prepaid term.
ReferralJobs may, in its discretion, issue a credit or refund in circumstances involving a material service failure attributable to ReferralJobs. Any discretionary refund or credit in one instance does not create an obligation to provide the same remedy in another instance.
Nothing in these Terms limits refund or cancellation rights that cannot legally be waived.
16. Third-Party Financing
ReferralJobs may make third-party financing or payment options, including financing through Klarna or another provider, available to eligible Members.
ReferralJobs is not the lender and does not determine financing eligibility, credit decisions, interest, fees, or other financing terms.
Any financing arrangement is separately governed by the agreement between you and the applicable financing provider.
Your obligations to a financing provider may differ from ReferralJobs' subscription and cancellation terms. Cancellation of a ReferralJobs Service does not automatically cancel or modify a financing agreement except as required by law or provided under the financing provider's terms.
Any approved ReferralJobs refund will be processed in coordination with the applicable payment or financing provider as appropriate.
17. No Employment or Hiring Outcome Guarantee
Job-search outcomes depend on factors outside ReferralJobs' control, including labor-market conditions, employer needs, Member qualifications, compensation requirements, location, competition, interview performance, employer judgment, and timing.
ReferralJobs does not guarantee:
- a minimum number of employer responses;
- a minimum number of interviews;
- referrals or introductions;
- job offers;
- any particular compensation level;
- employment within a particular period; or
- employment of any kind.
Case studies, testimonials, examples, dashboard images, application counts, campaign examples, or descriptions of Member experiences are illustrative and do not promise that another Member will achieve the same result.
The limited Campaign Extension Promise described in Section 12 is a service-extension commitment and is not a guarantee of an interview, offer, or employment outcome.
18. Member Content and Intellectual Property
"Member Content" means resumes, career histories, LinkedIn information, answers, documents, feedback, preferences, network information, and other materials you provide to ReferralJobs.
As between you and ReferralJobs, you retain ownership of your original Member Content.
You grant ReferralJobs a limited, nonexclusive right to use, reproduce, modify, organize, analyze, transmit, and process Member Content as reasonably necessary to provide, operate, support, and improve your Services and as otherwise described in the Privacy Policy.
Upon full payment of applicable fees, you may use final resumes, cover letters, professional narratives, pitch materials, and similar individualized career materials prepared specifically for you for your personal career and job-search purposes.
ReferralJobs retains all rights in its preexisting and general:
- software;
- technology;
- algorithms;
- workflows;
- frameworks;
- templates;
- methodologies;
- campaign systems;
- training materials;
- dashboard designs;
- business processes; and
- know-how.
Providing Services to you does not transfer ownership of ReferralJobs' underlying technology, systems, or methods.
19. Acceptable Use
You may not use the Services to:
- provide false or materially misleading professional information;
- impersonate another person;
- apply for roles on behalf of another person without authorization;
- commit fraud or violate applicable law;
- interfere with ReferralJobs' systems or security;
- scrape, reverse engineer, or systematically extract ReferralJobs software or proprietary systems except where such restriction is prohibited by law;
- share account credentials for commercial or unauthorized purposes;
- use ReferralJobs materials to create a competing service through unauthorized copying; or
- instruct ReferralJobs personnel to engage in deceptive or unlawful conduct.
ReferralJobs may suspend or terminate Services when it reasonably believes a Member has engaged in prohibited conduct.
20. Service Changes and Availability
ReferralJobs may update its tools, processes, dashboard, technology providers, application workflows, and operational methods over time.
ReferralJobs may also reasonably modify Service features to reflect technology changes, third-party platform changes, job-market conditions, or improvements to the ReferralJobs service model.
ReferralJobs will not materially reduce the core paid Service during an active prepaid service period without providing a reasonably comparable alternative, adjustment, credit, or other appropriate remedy.
ReferralJobs does not guarantee uninterrupted access to the website, dashboard, or any third-party system.
Temporary maintenance, system outages, third-party failures, or events outside ReferralJobs' reasonable control may affect Service availability.
21. Suspension and Termination
ReferralJobs may suspend or terminate your access to the Services if:
- you materially violate these Terms;
- payment remains overdue;
- you provide materially false information;
- you engage in abusive, threatening, or unlawful conduct toward ReferralJobs personnel or contractors;
- continued Service would create a legal, security, or fraud risk; or
- ReferralJobs reasonably determines that it cannot continue the Service consistent with applicable law.
Where reasonably appropriate, ReferralJobs will provide notice and an opportunity to correct a violation before termination.
ReferralJobs may also discontinue a Service for business reasons. If ReferralJobs terminates a prepaid Service without cause before completing the paid service period, ReferralJobs will provide a prorated refund or comparable service credit for the unused portion of the Service.
22. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
REFERRALJOBS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
REFERRALJOBS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY JOB MATCH, APPLICATION, CAREER MATERIAL, STRATEGY, COACHING RECOMMENDATION, AUTOMATED OUTPUT, OR THIRD-PARTY INFORMATION WILL PRODUCE A PARTICULAR RESULT.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.
23. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, REFERRALJOBS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST INCOME, LOST EMPLOYMENT OPPORTUNITIES, LOST PROFITS, OR LOSS OF DATA, ARISING FROM OR RELATED TO THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, REFERRALJOBS' TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL SERVICE FEES YOU PAID DIRECTLY TO REFERRALJOBS DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
24. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless ReferralJobs and its owners, officers, employees, and contractors from third-party claims, damages, or expenses arising from:
- materially false or misleading information you provided to ReferralJobs;
- your unlawful use of the Services;
- your violation of these Terms; or
- Member Content that infringes another person's legal rights.
ReferralJobs will provide reasonable notice of a covered claim and will not settle a claim imposing a personal admission or nonmonetary obligation on you without your consent, which will not be unreasonably withheld.
25. Privacy
ReferralJobs' collection, use, storage, and disclosure of personal information is described in the ReferralJobs Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
Because providing the Services may require the processing and transmission of career and application information to employers and third-party application systems, you acknowledge that Member information may be shared with prospective employers and job application platforms as reasonably necessary to submit applications authorized under these Terms.
26. Electronic Communications
You consent to receive Service-related communications electronically, including by email, dashboard notifications, and other electronic methods you provide or authorize.
Electronic communications may include:
- account notices;
- billing and renewal information;
- cancellation confirmations;
- application or campaign questions;
- dashboard notices;
- Service updates; and
- changes to these Terms or the Privacy Policy.
You are responsible for maintaining a current email address and contact information.
27. Changes to These Terms
ReferralJobs may update these Terms from time to time.
If a change is material, ReferralJobs will provide notice as required by applicable law.
Changes will apply prospectively from the effective date of the updated Terms. Material changes to an automatically renewing Service will be communicated together with cancellation information where required by law.
Your continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms, except where applicable law requires additional affirmative consent.
28. Informal Dispute Resolution
Before filing a legal action concerning these Terms or the Services, you and ReferralJobs agree to make a good-faith effort to resolve the dispute informally.
A party seeking to raise a dispute should provide written notice describing the issue and requested resolution.
Members may submit a dispute notice through the Contact Usform available on the ReferralJobs website. The notice should clearly state that it concerns a legal or contractual dispute and should include sufficient information for ReferralJobs to identify the Member's account and understand the nature of the dispute.
The parties will have thirty (30) days after receipt of the notice to attempt to resolve the matter informally before initiating legal proceedings, unless immediate action is reasonably necessary to protect legal rights or applicable law provides otherwise.
29. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, except to the extent federal law or the mandatory law of another jurisdiction applies.
Subject to Section 28 and applicable law, legal proceedings arising from these Terms or the Services will be brought in the state or federal courts located in Laramie County, Wyoming, and each party consents to the jurisdiction of those courts.
Nothing in this section limits rights available to a consumer that cannot lawfully be waived.
30. General Terms
Entire Agreement
These Terms, the Privacy Policy, and your applicable Order Summary constitute the entire agreement between you and ReferralJobs concerning the Services and replace prior discussions or understandings concerning the same subject matter.
Order of Precedence
If an Order Summary conflicts with these Terms, the Order Summary controls only with respect to expressly stated Service scope, term, or pricing. These Terms otherwise control.
Assignment
You may not assign your rights under these Terms without ReferralJobs' prior written consent. ReferralJobs may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the ReferralJobs business.
Severability
If any provision of these Terms is held unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
Waiver
A failure to enforce a provision of these Terms is not a waiver of the right to enforce that provision later.
No Third-Party Beneficiaries
Except as expressly stated in these Terms, these Terms do not create rights for any third-party beneficiary.
Force Majeure
ReferralJobs will not be responsible for delay or failure caused by events outside its reasonable control, including natural disasters, widespread internet or cloud-service failures, government actions, labor disruptions, war, terrorism, civil unrest, or significant failures of third-party platforms.
Headings
Section headings are for convenience only and do not affect interpretation of these Terms.
